Mark M. Katz
Mark’s principal areas of focus are commercial real estate matters, joint ventures, transactional work, and finance.
Mr. Katz represents private equity funds, investment banks, and institutional investors in all aspects of their real estate investment and financing activities. He has extensive transactional experience in acquisitions, senior and mezzanine financings, loan workouts and restructurings, joint ventures, and development and disposition of commercial real estate assets throughout the United States.
Among other national clients, Mr. Katz has represented Goldman Sachs and its affiliates, AllianceBernstein US Real Estate Partners, The Blackstone Group, Inc., Revolution LLC (an investment vehicle sponsored by Steve Case), The JBG Companies, First Potomac Realty Trust, Marathon Real Estate Opportunity Funds, Union Investment, Edge Principal Advisors, and the Tampa Bay Rays. Recent representations include:
- Representing AllianceBernstein US Real Estate Partners in a variety of real estate matters, including in the formation of a joint venture and subsequent acquisition and disposition of a several hundred million dollar portfolio of 20 multifamily properties located in 10 different states.
- Advising Goldman Sachs in connection with their $1.56 billion acquisition and financing of multifamily assets from EQR; the development of the new Bank of America headquarters building in Charlotte, North Carolina; numerous senior housing and single and multistate portfolio acquisitions of multifamily properties totaling over $1 billion; and a portfolio sale of four multifamily properties with purchase price proceeds in excess of $100 million.
- Representing Revolution LLC in connection with the sale of a controlling interest in Arizona's Miraval Resort & Spa to KSL Capital Partners LLC.
Immediately following graduation from law school, Mr. Katz served as a law clerk to the Honorable Murray M. Schwartz, United States District Judge for the District of Delaware and for the Honorable Francis D. Murnaghan, Jr., United States Circuit Judge for the Fourth Circuit Court of Appeals.
Mr. Katz is a member of the Urban Land Institute and is Vice Chair of the Commercial and Retail Development Council and is a Trustee of the Federal City Council, Washington, DC.

Mr. Katz has been recognized as a leading real estate lawyer in Washington, DC by Chambers USA since 2009 and as a leading real estate lawyer by Legal 500 since 2011. In December 2013, 2015, and 2017, Washingtonian magazine named Mark a "top lawyer" in real estate in its biennial guide to the capital area's "Best Lawyers."
